Terms of Use

This is a courtesy translation. The binding version of these Terms is the Portuguese one, available at verumsign.com.br/termos. In case of divergence, the Portuguese text prevails.

These Terms govern the use of Verum Sign, an electronic signature platform operated by MMBX Software e Sistemas Ltda., registered under Brazilian company number (CNPJ) 69.677.745/0001-96 ("we"). By creating an account or using the platform, you agree to what is written here.

1. What the platform does

Verum Sign receives the documents you send, collects electronic signatures from the signers you name, records the evidence of each step and returns the final document sealed with an ICP-Brasil digital certificate, together with the signature report.

The platform provides an advanced electronic signature service under Brazilian Law 14.063/2020 and Provisional Measure 2.200-2/2001. We do not provide legal advice and we are not a party to the contracts you sign through it.

2. Your account

• You are responsible for the accuracy of your registration data and for keeping it up to date.
• Access credentials are personal. You answer for acts performed with them.
• You may invite members of your team and set each one's role (owner, operator or reader). What they do in the account is your responsibility.
• API keys are equivalent to credentials: keep them as such and revoke them once they are no longer needed.

3. What you may not do

• Send documents whose content is unlawful, or use the platform for fraud, impersonation or coercion.
• Name as signer a person you know is not the holder of the e-mail address or phone number given.
• Attempt to bypass, probe or circumvent security controls, usage limits or the document count.
• Resell, sublicense or present the platform as your own, except under a specific written agreement.

Breach may lead to immediate suspension of the account. Where an account is suspended for breach, completed documents remain available for export for 30 days.

4. Pricing, trial and billing

• A new account receives 5 trial documents, with no deadline and no card required. These documents are real: they come out sealed and carry the same validity as any other.
• From the sixth document onwards, the plan published on the pricing page applies.
• The plan includes a monthly allowance of documents. Documents above the allowance are charged per unit at the published rate.
• A document counts when it is completed — that is, all signatures collected and the file sealed. Cancelled or declined documents do not count.
• Price changes are announced 30 days in advance and do not apply to documents already completed.

5. Your documents are yours

You keep all rights over the documents you send. We process them only to provide the service: collecting signatures, sealing, storing and delivering. We do not use the content of your documents to train models, for our own commercial purposes, or for any purpose unrelated to performing the service.

At any time you may export every completed document, with its signature report, in a single file.

6. Availability

We work to keep the platform continuously available, but we do not guarantee the complete absence of interruptions. Scheduled maintenance is announced in advance whenever possible.

The validity of a sealed document does not depend on the platform being online: the seal and the signature report live inside the PDF file itself.

7. Limitation of liability

We are liable for direct damages demonstrably caused by our failure, limited to the amount you paid in the 12 months before the event. We are not liable for loss of profit, nor for the consequences of content, decisions or contractual relationships between you and your signers.

8. Termination

You may close your account at any time. On closure we make the full export available and, once retrieved or after the stated period, we delete the data permanently, as described in the Privacy Policy.

9. Governing law and venue

Brazilian law applies. The courts of Além Paraíba, Minas Gerais, Brazil, are elected to settle matters arising from these Terms, without prejudice to a consumer's right to choose the venue of their own domicile.

10. Changes to these Terms

We may amend these Terms. Material changes are announced by e-mail and on the platform at least 30 days in advance. Continued use after that period means agreement.
